Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Merchant," or "you") and sbizz Inc. ("sbizz," "we," "us," or "our") governing your access to and use of the sbizz mobile applications, websites, and point-of-sale software tools (collectively, the "Platform").

By creating an account, saving a digital pass, scanning a code, or accessing our services, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Accounts & Eligibility

You must be at least 13 years of age (or the minimum legal age in your jurisdiction) to use the Platform. You agree to provide accurate and complete registration information and maintain the security of your authentication credentials. You are responsible for all activities occurring under your account.

2. Digital Member Passes & Anti-Fraud

• Non-Transferable: Digital member QR passes generated by sbizz are personal to the account holder and are non-transferable.
• Anti-Counterfeiting: Passes feature cryptographically signed time-sensitive tokens. Attempting to tamper with, reverse-engineer, duplicate, screenshot, or share passes fraudulently is strictly prohibited and will result in immediate account termination.

3. Loyalty Points, Perks & Rewards

• No Cash Value: Loyalty points, virtual stamps, tier milestones, and discount coupons accrued through sbizz have no cash or monetary value and cannot be redeemed for fiat currency or cash equivalents.
• Merchant Discretion: Participating businesses independently set the rewards, discounts, expiration windows, and tier requirements available in their specific stores. sbizz is a software provider and does not guarantee the ongoing availability of specific third-party merchant offers.
• Revocation: Merchants reserve the right to modify or adjust loyalty points awarded in error or in connection with refunded transactions.

4. Merchant & Staff Terms

Authorized merchant staff members (cashiers, managers, and owners) agree to use the POS and scan features exclusively for legitimate customer checkout validations. Merchants are solely responsible for ensuring products and services provided to customers comply with all applicable consumer safety and local laws.

5. Intellectual Property

All trademarks, logos, visual designs, software code, and interface layouts of the sbizz platform are the exclusive property of sbizz Inc. or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the service without prior written authorization.

6. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or entirely bug-free.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall sbizz Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Platform.

8. Termination

We reserve the right to suspend or terminate your account or access to the Platform at our sole discretion, without notice, for conduct that violates these Terms, is harmful to other users, or infringes on platform security.
